Taxation of Business Entities is written for readers who want to understand how Australian taxation law operates when economic activity is conducted through businesses, companies, partnerships, trusts and superannuation structures.
Business taxation is demanding because legal form matters. The same commercial objective can produce different consequences depending on who owns an asset, who derives the income, who incurs expenditure, how value is transferred and when the transaction occurs. A company, partnership, trust and individual may participate in economically similar activity while the tax law asks fundamentally different questions about income, deductions, capital gains, distributions, benefits, losses and succession.
This book is designed to make that architecture visible. It does not ask readers to memorise isolated section numbers. It teaches a repeatable method: identify the commercial facts; identify each taxpayer and entity; fix the relevant income year; locate the exact statutory rule; connect the rule to cases and ATO authority; perform the calculation; apply each element to the facts; test counterarguments and integrity provisions; and give a reasoned conclusion with a practical next step.
Chapters 1โ3 are the fully developed current teaching chapters. Chapters 4โ13 are already published as substantive teaching chapters so readers can follow the entire subject now. Those later chapters will be expanded throughout the teaching period as additional live seminar explanations, worked problems, authorities and examples are incorporated.
The audience is deliberately broad: LLB, JD and LLM students; postgraduate law and business-law students; commerce, economics and MBA students; practising lawyers and advisers; and executives, directors and business owners who want a structured understanding of the tax consequences of entity choice and commercial transactions.
Tax law changes. Rates, thresholds, administrative practice and legislative settings must always be checked for the relevant income year. For that reason, the electronic edition uses blue links only where they are intended to take the reader to legislation, cases, ATO material or another identifiable resource.
